Terms and Conditions: Sale of Goods

‍ ‍

These Terms set out the basis on which Beamsmoor Furniture Company Ltd ("us" or "we" or "Beamsmoor" or “our”) will supply Products ordered by you on the Website, by email, in person or otherwise.  When you make an Order, you are agreeing to enter into a contract with us, which is governed by these Terms.  Please note that the capitalised terms have the meanings as set out in Schedule 1 and the Terms are interpreted as described in that Schedule.  The Schedules form part of these Terms.

‍ ‍

Please read these Terms carefully before you submit your Order to us. These Terms tell you who we are, how we will provide the Products to you, how you and we may change or end the contract, what to do if there is a problem and other important information.

‍ ‍

‍ ‍

‍ ‍

1.1             We are Beamsmoor Furniture Company Ltd, a company incorporated and registered in England & Wales with registration number 17329888 whose registered address is at Unit 1a, Green Acres, Catesby Road, Staverton, Daventry, England NN11 6JP.  You can contact us using the details at paragraph 17.5.

2.               BUSINESS CUSTOMERS

Further details are set out in paragraph 17.7 below. You are a business customer if you are buying the Products wholly or mainly for use in connection with your trade, business, craft or profession, even if you are an individual.

‍ ‍

3.               OUR CONTRACT WITH YOU

‍ ‍

3.1             When you buy from us you are agreeing that:

‍ ‍

‍ ‍

3.2             Our acceptance of your Order will take place when we email you with confirmation of the Order at which point a contract will come into existence between you and us.

‍ ‍

3.3             If we are unable to accept your Order, we will inform you of this and will not charge you for the relevant Products.  This might be because the relevant Products are out of stock, because of unexpected limits on our resources which we could not reasonably plan for, because we do not deliver to your location, because we have identified an error in the price or description of the relevant Products or because we are unable to meet the specification provided by you or a delivery deadline you have specified.

‍ ‍

4.               THE products

‍ ‍

4.1             The images of the Products on the Website or in our marketing materials are for illustrative purposes only. Although we have made every effort to display them accurately, we cannot guarantee that a device’s display or printed document accurately reflects the Products. Your Products may vary slightly from those images.

‍ ‍

4.2             As our Products are handmade then the colour, size, weight, capacity, dimensions and measurements for the relevant Product indicated on our Website, in person, by email or otherwise may differ.  The differences may also include marks from machining or manufacturing, knots, cracks, wood grain, small “chip out” or “tear out”, shakes, medullary rays, glue lines and/or natural colour variation.

‍ ‍

4.3             The specific materials used for the Products will be stated in the description of the Product on the Website, in our marketing materials or confirmed by email.

‍ ‍

4.6             We will not be liable for a Product’s failure to comply with the warranty in paragraph 4.5, if:

‍ ‍

4.6.1        you make any further use of the Product after telling us it is non-compliant;

‍ ‍

4.6.2        the defect arises because you failed to follow our oral or written instructions (including email) as to the storage, installation, use or maintenance of the Products or good trade practice;

‍ ‍

4.6.3        the defect arises because we followed any Customer Materials provided by you;

‍ ‍

4.6.4        you alter or repair the Product without our written consent; and/or

‍ ‍

4.6.5        the defect arises because of fair wear and tear, misuse, wilful damage, negligence or abnormal working conditions.

‍ ‍

4.7             For the avoidance of doubt, the following will not be considered defects for the purposes of paragraph 4.5:

‍ ‍

4.7.1        natural variation in the colour, grain, texture, pattern, markings, knots and/or natural features occurring in the materials used (such as wood and steel) will not be considered defects;

‍ ‍

4.9             You also agree to and acknowledge the statement set out in Schedule 3.

‍ ‍

5.               YOUR RIGHT TO MAKE CHANGES

‍ ‍

If you wish to make a change to the Products you have ordered please contact us. We will let you know if the change is possible. If it is possible we will let you know about any changes to the price of the Products you have ordered, the timing of supply or delivery, and anything else which would be necessary as a result of your requested change, and ask you to confirm whether you wish to go ahead with the change. If we cannot make the change or the consequences of making the change are unacceptable to you, you may want to end the contract (see paragraph 9 - Your rights to end the contract).

‍ ‍

6.               OUR Right TO MAKE CHANGES

‍ ‍

6.1             We may change the Products:

‍ ‍

6.1.1        to reflect changes in relevant laws and regulatory requirements;

‍ ‍

6.1.2        to implement minor technical adjustments and improvements;

‍ ‍

6.1.3        which are necessary due to Events Outside Our Control; and/or

‍ ‍

6.1.4        which have been agreed by you in writing.

‍ ‍

6.2             Where paragraph 6.1 does not apply and in the event of more significant changes to the Products after you have ordered them, we will notify you of the changes and you may then contact us to end the contract before the changes take effect and, subject to paragraph 6.3 in respect of Bespoke Products, to receive a refund for the relevant Products paid for but not received.

‍ ‍

6.3             Where the Products are Bespoke Products then then you shall not be entitled to a refund in respect of amounts attributable to work already carried out or materials already committed to the manufacture of the Bespoke Products.

‍ ‍

7.               PRICE AND PAYMENT

‍ ‍

7.1             The price of the Products which you have ordered will be the price:

‍ ‍

7.1.1        indicated on the order page on the Website at the time of your Order;

‍ ‍

7.1.2        as quoted by us in an email quotation which will be open for acceptance for 30 days from the date of the email; or

‍ ‍

7.1.3        confirmed by us in an email following a meeting with you in person.

‍ ‍

7.2             We take all reasonable care to ensure that the price of the Products on the Website or in our email to you is correct. However please see paragraph 7.3 for what happens if we discover an error in the price of the Products you order.

‍ ‍

7.3             It is always possible that, despite our best efforts, some of the Products we sell may be incorrectly priced. We will normally check prices before accepting your Order so that, where the correct price of the Products at the date of your Order is less than our stated price at the date of the Order, we will charge you the lower amount. If the correct price of the Products at the date of the Order is higher than the price stated to you, we will contact you for your instructions before we accept the relevant Order. If we accept and process the Order where a pricing error is obvious and unmistakeable and could reasonably have been recognised by you as a mispricing, we may end the contract, refund you any sums you have paid for the Order and require the return of the relevant Products provided to you.

‍ ‍

7.4             The following provisions shall apply to the method of payment for the Products ordered by you:

‍ ‍

7.4.1        in the case of Standard Orders on the Website (which are not for Bespoke Products), it will be taken by the Payment Processor on our behalf; and

‍ ‍

7.4.2        in the case of Bespoke Orders,  we will issue an invoice to you which will be paid by you for the amount, within the timescale and to the bank account stated in such invoice.

‍ ‍

7.5             You must pay for the Products ordered by you before we dispatch them to you.

‍ ‍

7.6             For some Products, we may take payment at regular intervals, as explained to you during the Order process.  This may include taking a deposit before any work on a Bespoke Product is commenced by us.  Unless otherwise stated by us in writing, payment for the Bespoke Products shall be made by you as follows:

‍ ‍

7.6.1        50% of the total price shall be paid as a deposit;

‍ ‍

7.6.2        35% of the total price shall be paid upon dry fit of the assembly once joinery is complete; and

‍ ‍

7.6.3        15% paid at least 48 hours prior to the agreed delivery date.

‍ ‍

7.7             If we are unable to collect any payment you owe us then we may charge interest on the overdue amount at the rate of 2% a year above the Bank of England base rate from time to time.  This interest accrues on a daily basis from the due date until the date of actual payment of the overdue amount, whether before or after judgment.  You pay us the interest together with any overdue amount.

‍ ‍

7.8             If the rate of VAT changes between your date of Order and the date we supply the Products, we adjust the rate of VAT that you pay, unless you have already paid in full before the change in the rate of VAT takes effect.

‍ ‍

8.               PROVIDING THE PRODUCTS

‍ ‍

8.1             We only deliver the Products to addresses within the United Kingdom (subject always to the restrictions of our courier company).  Any Order for a delivery address outside the United Kingdom or in remote post codes or regions of the United Kingdom where our courier does not deliver (such as the Highlands & Islands in Scotland) may be cancelled by us, and any payment received will be refunded.

‍ ‍

8.2             The costs of delivery of the Products will be as displayed on the Website or as indicated by us in an email.

‍ ‍

8.3             Other than the Bespoke Products, we will deliver the Products you have ordered as soon as reasonably possible and in any event within 30 days after the day on which we accept your Order and receive payment.

‍ ‍

8.4             If our supply of the Products you have ordered is delayed by an Event Outside Our Control then we will contact you as soon as possible to let you know and we will take steps to minimise the effect of the delay. Provided we do this we will not be liable for delays caused by the Event Outside Our Control, but if there is a risk of substantial delay you may contact us to end the contract and receive a refund for any Products (other than the Bespoke Products) you have paid for but not received.

‍ ‍

8.5             If no one is available at your address to take delivery of the Products, you may require to rearrange delivery.

‍ ‍

8.6             If you do not collect the Products you have ordered from us as arranged or if, after a failed delivery to you, you do not re-arrange delivery we will contact you for further instructions and may charge you for any further delivery costs. If, despite our reasonable efforts, we are unable to contact you or re-arrange delivery or collection we may end the contract and paragraph 11.2 will apply (subject to paragraph 11.4).

‍ ‍

8.7             The Products you have ordered will be your responsibility from the time we deliver the Products to the address you gave us.

‍ ‍

8.8             You own the Products you have ordered once we have received payment in full.

‍ ‍

8.9             We may need certain information from you so that we can supply the Products you have ordered to you, for example, your delivery address.  If you give us incomplete or incorrect information, we may end the contract and paragraph 11.2 will apply.

‍ ‍

8.10          No collections may be made from our workshop.

‍ ‍

9.               your rights to end the Contract

‍ ‍

9.1             Subject to paragraph 9.2, if you are ending the contract for a reason set out at paragraphs 9.1.1 to 9.1.5 (inclusive) below then the contract will end immediately and we will refund you in full for any Products which you have ordered but have not been provided:

‍ ‍

9.1.1        we have told you about a change to the Products you have ordered which you do not agree to under paragraph 6.2;

‍ ‍

9.1.2        we have told you about an error in the price or description of the Products you have ordered and you do not wish to proceed;

‍ ‍

9.1.3        there is a risk that supply of the Products you have ordered may be significantly delayed because of Events Outside Our Control;

‍ ‍

9.1.4        we have suspended supply of the Products you have ordered for technical reasons, or notify you we are going to suspend them for technical reasons, in each case for a period of more than 4 weeks; or

‍ ‍

9.1.5        you have a legal right to end the contract because of something we have done wrong.

‍ ‍

9.2             If the Products referred to in paragraph 9.1 are Bespoke Products then paragraph 9.1 shall not entitle you to a refund in respect of amounts attributable to work already carried out or materials already committed to the manufacture of the Bespoke Products.

‍ ‍

9.3             For most products bought online you have a legal right to change your mind within 14 days and receive a refund.  These rights are set out in the Consumer Contracts Regulations 2013.

‍ ‍

10.             HOW TO END THE CONTRACT WITH US (INCLUDING IF YOU HAVE CHANGED YOUR MIND)

‍ ‍

10.1          You cannot change your mind about an Order for a Product that is:

‍ ‍

10.1.1     a Bespoke Product or a Product that is clearly personalised; or

‍ ‍

10.1.2     the Product has become mixed inseparably with other items after their delivery,

‍ ‍

and paragraphs 10.2 to 10.8 (inclusive) shall not apply to such Products.

‍ ‍

10.2          To end the contract with us, please let us know by doing one of the following:

‍ ‍

10.2.1     Online: complete the form in Schedule 2 and email to us at the email address on the form; or

‍ ‍

10.2.2     Post: Print off and complete the form in Schedule 2 and post it to us at the address on the form. Or simply write to us at that address, including details of what you bought, when you ordered or received it and your name and address.

‍ ‍

10.3          If you end the contract for any reason after the Products you have ordered have been dispatched to you or you have received them, you must return them to us. You must 7post them back to us at the address set out in paragraph 17.5.  If you are exercising your statutory right to change your mind you must send off the Products within 14 days of telling us you wish to end the contract.

‍ ‍

10.4          We will only pay the costs of return:

‍ ‍

10.4.1     if the Products you have ordered are defective, faulty or misdescribed; or

‍ ‍

10.4.2     if you are ending the contract because we have told you of a change to the Products you have ordered, an error in pricing or description or because you have a legal right to do so as a result of something we have done wrong.

‍ ‍

10.5          In all other circumstances (including where you are exercising your right to change your mind) you must pay the costs of return.

‍ ‍

10.6          We will refund you the price you paid for the Products you have ordered including, where applicable, any delivery costs, by the method you used for payment. However, we may make deductions from the refund, as described in paragraph 10.7.

‍ ‍

10.7          If you are exercising your statutory right to change your mind:

‍ ‍

10.7.1     we may reduce your refund of the price (excluding delivery costs) to reflect any reduction in the value of the Products you have ordered if this has been caused by your handling them in a way which would not be permitted in a shop  For example, we reduce your refund if the Product’s condition is not “as new”, tags have been removed, the packaging is damaged or parts are missing.  In some cases, because of the way you have treated the Products, no refund may be due.  If we refund you the price paid before we are able to inspect such Products and later discover you have handled them in an unacceptable way, you must pay us an appropriate amount; and

‍ ‍

10.7.2     the maximum refund for delivery costs will be the costs of delivery by the least expensive delivery method we offer. For example, if we offer delivery of the Products within 3-5 days at one cost but you choose to have the Products delivered within 24 hours at a higher cost, then we will only refund what you would have paid for the cheaper delivery option.

‍ ‍

10.8          We will make any refunds due to you as soon as possible. If you are exercising your statutory right to change your mind then your refund will be made within 14 days from the day on which we receive the relevant Products back from you or, if earlier, the day on which you provide us with evidence that you have sent such Products back to us. For information about how to return the Products you have ordered to us, see paragraph 10.2.

‍ ‍

11.             OUR RIGHTS TO END THE CONTRACT

‍ ‍

11.1          We may end the contract at any time by writing to you if:

‍ ‍

11.1.1     you do not make a payment to us when it is due;

‍ ‍

11.1.2     you do not, within a reasonable time of us asking for it, provide us with information that is necessary for us to provide the Products you have ordered, for example, your delivery address; or

13.6          Beamsmoor reserves the right to photograph and use images of the Products for portfolio, promotional and marketing purposes unless otherwise agreed in writing.

‍ ‍

14.             liability

‍ ‍

14.1          We will not be responsible for any failure by us to perform our obligations to you where this is due to:

14.1.1     Events Outside Our Control as set out in paragraph 14; or

‍ ‍

14.1.2     incorrect details provided by you.

‍ ‍

14.2          If we fail to comply with these Terms, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking these Terms or our failing to use reasonable care and skill, but we are not responsible for any loss or damage that is not foreseeable.  Loss or damage is foreseeable if either it is obvious that it will happen or if, at the time the contract was made, both we and you knew it might happen.  If the loss is not foreseeable or could have been avoided by you taking reasonable action then we are not responsible for the losses you suffer.

Schedule 3 - STATEMENT

‍ ‍

Wood is a natural material that will move seasonally and will react to humidity in the air and the air temperature(s) it is stored in. This can cause the wood to expand/contract by a few millimetres, cause small gaps in the joints and/or cause shakes to open in the wood. This movement is natural and is not considered a defect.

‍ ‍

‍ ‍

Our furniture is not suitable for outdoor use, use in bathrooms, humid environments or environments with temperature fluctuations, unless specified.

‍ ‍

‍ ‍

Our furniture is designed and manufactured for storing on a perfectly flat surface. Uneven surfaces can cause twisting and movement in both the materials and the hardware (e.g. doors to hang misaligned). It is your responsibility to notify us prior to ordering so that suitable adjustments can be made. We cannot be held responsible for issues that arise as a result of storing items on unsuitable surfaces. Any issues that occur as a result would not be deemed a manufacturing fault under these Terms.
